Senior Director, Compensation

Reporting to the EVP, Human Resources, the Senior Director, Compensation will be responsible for developing, designing, and implementing executive compensation, annual bonus plans and long-term incentives across the organization. This person will partner with the Executive team and Compensation Committee of the Board of Directors and will lead our compensation and equity programs to ensure a performance driven and market competitive program. The position will help oversee the various initiatives related to the Company’s job architecture.


  • Provide strategic and operational leadership in the design, implementation, administration, and communication of all compensation programs, including job hierarchy, base salary, annual bonus plans & long-term incentives across the organization.
  • Partner to the executive leadership team and external consultant(s) on compensation matters related to transformational change, acquisitions, annual audits, and compensation projects.
  • Play a key role in the creation of materials for Compensation Committee meetings and to drive recommendations for Executive Compensation, outside Director Compensation, stock-based compensation programs and other analysis requested by the Committee.
  • Assists with Executive Compensation responsibilities including, but not limited to, gathering and analyzing compensation and financial data, documenting and comparing executive compensation program design, and assisting with the communication of executive compensation plans to the senior leadership team and to the Compensation Committee.
  • Provide strategic oversight and development of the Company’s compensation philosophy and compensation structure. Manage the process, with accountability for reviewing and approving any proposed nuances to the compensation structure.
  • Partner with finance leads to collect and validate relevant data to ensure payments are calculated accurately, timely and in accordance with plan provisions.
  • Engage with both internal and external partners to drive the development and execution of reward and recognition practices and build strong and scalable processes.
  • Drive the strategic design and execution of our compensation and equity programs in line with Celularity’s business needs, culture, and values to include philosophy, job evaluation and salary surveys, salary and incentive structures, pay budgets and equity analysis.
  • Develop and maintain effective communication strategies to drive employee awareness and understanding of all compensation programs.
  • Oversee the creation of policies and procedures to ensure compliance and the achievement of equitable and competitive employee total cash and equity compensation.
  • Establish and measure key compensation metrics.
  • Regularly benchmark company programs and monitor external trends to proactively adjust company plans and programs to ensure market competitiveness.
  • Oversee the 401(k) plan.


  • Bachelors or Advanced degree in Human Resources and/or Finance
  • 10 years of experience in Compensation with at least 4 years in Executive Compensation
  • Extensive knowledge of executive compensation programs, processes, and presenting at Board-level meetings.
  • Excellent written and verbal communication skills
  • Strong collaborative skills to engage colleagues and peers to drive execution.
  • Ability to operate effectively in a team environment including interactions with teams cross-functionally, as well as all levels of management.
  • Familiarity with the standard concepts, practices, and procedures within compensation
  • High proficiency in using MS Excel and MS PowerPoint is required
  • Experience with HRIS
  • Excellent business acumen, strong strategic planning and analytical skills, and the ability to leverage data to make recommendations and decisions.
  • Ability to exercise good judgment and discretion; maintain confidentiality.
  • Ability to manage effectively with ambiguity, manage multiple projects through completion on time and on budget and to prioritize in a rapidly changing environment.

 Role will be filled at level commensurate with experience.
